Job Description


TITLE: General Counsel

REPORTS TO: President




FLSA: Exempt


The General Counsel is responsible for leading corporate strategic and tactical legal initiatives. The role provides senior management with effective advice on company strategies and their implementation. The General Counsel manages legal functions and obtains, directs, and oversees the work of outside counsel and is directly involved in complex business transactions in negotiating critical contracts.


  • Report to president; work with executive team; manage risk companywide.
  • Manage five-member legal department.
  • Respond to and advise on legal matters nationwide. Serves as key legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures.
  • Judges the merits of major actions filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and negotiates, approves, and drafts settlements of disputes where warranted.
  • Assumes responsibility for ensuring that the company conducts its business nationwide in conformity with applicable laws and regulations.
  • Oversees the selections, retention, management, and evaluation of outside counsel.
  • Advises on legal aspects of the company's financing, including assessing and advising current and future business structures and legal entities.
  • Oversees and continually updates service agreements; oversees all contractual matters affecting the organization.
  • Attend and actively participate in executive meetings related to legal risks, the future direction of the company, pending mergers and acquisitions, and changes in policy.
  • Oversee the compliance and legal risk management activities for our organization.
  • Work with executive team to ensure that the company is always in compliance with industry employment and business process laws.
  • Perform and/or assist with company investigations.
  • Monitor changes in laws daily and update corporate documents, policies, procedures, contracts, and training to meet changing requirements.
  • Continuously improve job knowledge by participating in educational opportunities, reading professional publications, and participating in professional organizations.
  • Performs legal audits.
  • Other duties as assigned.

  • Ability to anticipate legal issues or risks and to "see around the corner"
  • MA or BS in business administration will be considered an asset
  • Experience managing other attorneys and supervising support staff; experience with cost-effective management of outside legal resources

  • 5+ years of labor and employment experience

7-10 years of in-house corporate experience
